How to set up a SARL in Morocco: papers and steps

Last checked 24 October 2026

In short

Want to open a company? Since March 2025, everything goes through one platform: directentreprise.ma, run by OMPIC (the trade-mark and company office). One form covers the name, the articles of association, taxes, the trade register, the Official Gazette and social security. You set the capital freely, and the file is usually submitted by a notary, a lawyer or an accountant.

Step by step

  1. Reserve the name (negative certificate)

    OMPIC, online at nc.directentreprise.ma

You reserve the company name. The certificate is valid for 90 days to finish the set-up and costs 232.76 MAD online (OMPIC 2026 fee). Keep two or three spare names in case your first choice is taken.

  2. Write the articles of association

At the notary, or as a private deed

A SARL can have one partner (SARL AU) up to 50 partners. The partners set the capital freely. The articles are registered at the registration office, and a set-up with cash contributions is exempt from registration duties (General Tax Code, Article 129). Read the clauses on shares and management carefully before you sign.

  3. Freeze the capital, if required

    The bank

Only if the capital is above 100,000 MAD: at least a quarter of the cash contributions must be paid in, and the bank gives you the freeze certificate.

  4. One file on directentreprise.ma

    DirectEntreprise platform (OMPIC)

The online form and its papers cover: the negative certificate, registration of the articles, the professional tax, the trade register, the tax declaration, publication in the Official Gazette and social security enrolment (decree 2.22.92, Article 4). The platform opens accounts for notaries, lawyers and accountants, which is why one of them usually submits the file.

  5. Deadlines after set-up

The tax declaration of existence is due within 30 days (Article 148). According to OMPIC: trade register entry within 3 months, and legal publication within a month after registration. You receive your ICE (15 digits, the business ID) along with the trade register number, the tax ID and the social security number. Keep all these numbers in one place.

From auto-entrepreneur to SARL

If you are an auto-entrepreneur, ask to be removed from the national auto-entrepreneur register first, then start the company steps. See auto-entrepreneur in Morocco to know when you leave the scheme.

Who can help you set up the company?

A notary can write the articles, and a lawyer or an accountant can submit the file on the platform. Ask them from the start: what their fee covers, and who will follow the deadlines after set-up.

What about the costs?

The official prices we found: negative certificate 232.76 MAD, trade register extract 180 MAD (OMPIC). We found no official source for court fees, the Official Gazette and legal-notice newspaper, or the notary's and accountant's fees, so we quote no figure for them. Ask whoever will submit your file.

Accountants and lawyers in your city

On Hdaya you can find accountants, lawyers and translators near you, and ask them about your company file before you begin.

Questions people ask

What is the minimum capital of a SARL?

There is none: the partners set it freely. Above 100,000 MAD, a quarter must be frozen at the bank.

How long does the name stay reserved?

90 days from the date of the negative certificate.

Can I submit the file myself?

The decree allows the founder or their representative to do it, but the platform opens accounts for notaries, lawyers and accountants, which is why the file usually goes through them.

Are there registration duties when setting up?

No, for a set-up with cash contributions (General Tax Code 2026, Article 129). Contributions in kind follow a different rule.
